1. Agreement to these terms
These Terms of Service ("Terms") are a binding agreement between you and
Distress Signal ("Distress Signal," "we," "us," or "our") governing your
use of the website https://distress-signal.net and the related service (the "Service"). By
creating an account, subscribing, or using the Service, you agree to these
Terms and to our Privacy Policy. If you do not agree, do not use the Service.
2. What the Service is — and is not
The Service is a data-intelligence and research tool. It aggregates
information from public government records, organizes it, and scores
properties to help real-estate investors identify potential acquisition
opportunities.
The Service is not, and we are not:
- a real-estate broker, salesperson, agent, or wholesaler;
- a party to any real-estate transaction;
- a representative of any buyer or seller;
- a provider of legal, financial, investment, tax, or appraisal advice; or
- a "consumer reporting agency," and the Service is not a "consumer report,"
under the Fair Credit Reporting Act ("FCRA").
We do not buy, sell, broker, or solicit the sale of property, and we earn no
commission on any transaction. You are responsible for your own investment
decisions and for engaging your own licensed professionals.
3. Eligibility
You must be at least 18 years old and capable of forming a binding contract.
The Service is offered for business and professional use. By using it you
represent that you meet these requirements.
4. Accounts
You are responsible for the accuracy of your account information, for keeping
your credentials confidential, and for all activity under your account. Notify
us promptly of any unauthorized use. Accounts are for a single customer and
may not be shared except as expressly permitted by your subscription plan.
5. Subscriptions, billing, and cancellation
Billing. Paid plans are billed in advance on a recurring basis through our
payment processor, Stripe. By subscribing you authorize recurring charges
until you cancel.
Trials. If a free trial is offered, we will begin charging the plan rate
when the trial ends unless you cancel before then.
Cancellation. You may cancel at any time; cancellation takes effect at the
end of the current billing period and stops future charges.
Refunds. Except where required by law, fees are non-refundable and partial
periods are not prorated. [ADJUST THIS to your actual refund policy.]
Price changes. We may change prices on renewal with prior notice.
6. Acceptable use
You agree that you will not, and will not permit anyone else to:
- resell, sublicense, redistribute, or publicly post the data or outputs of
the Service, or use them to build a competing product or dataset;
- use the Service, or any information obtained through it, for any purpose
regulated by the FCRA — including evaluating a person for credit, insurance,
employment, tenant screening, or housing eligibility;
- use the Service to harass, threaten, stalk, or unlawfully contact any
property owner or other person;
- conduct any telephone, text-message, or email outreach in violation of the
Telephone Consumer Protection Act ("TCPA"), the CAN-SPAM Act, the National
Do Not Call Registry, or any applicable state law;
- violate any law, or any third party's privacy or other rights, in your use
of the Service or information obtained through it;
- scrape, crawl, reverse engineer, or attempt to extract source code from the
Service, or circumvent its access controls or rate limits; or
- misrepresent your identity or your affiliation with us.
We may suspend or terminate access for any violation of this Section.
7. Your compliance responsibility
The Service identifies properties and provides public-record information.
**Any decision to contact a property owner, and the manner of that contact,
is yours alone.** You are solely responsible for ensuring that every call,
text, email, mailing, or other outreach you conduct complies with all
applicable laws, including the TCPA, CAN-SPAM, Do Not Call rules, and state
solicitation and privacy laws. We do not send outreach on your behalf and we
are not responsible for outreach you conduct. You agree to indemnify us for
claims arising from your outreach or your use of information from the Service
(Section 13).
8. Data accuracy — provided "AS IS"
Information in the Service is compiled from third-party public records that we
do not control. Government records contain errors, omissions, and delays, and
our scoring is an estimate, not a fact. We do not warrant that any
information is accurate, current, or complete, that a scored property is
actually available for sale, that an owner is willing to sell, or that any
estimate, score, or projection will prove correct. You must independently
verify all information before relying on it.
9. No guarantee of results
Real-estate investing involves risk. We make no representation or warranty
that use of the Service will result in any lead, transaction, profit, or other
outcome.
10. Intellectual property
We own the Service, including its software, scoring methodology, design, and
brand, and all related intellectual property. Subject to these Terms and your
active subscription, we grant you a limited, non-exclusive, non-transferable,
revocable license to access and use the Service for your internal business
use. The underlying public records are not owned by us or you.
11. Disclaimer of warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY
KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF
MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, ACCURACY, AND
NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED,
SECURE, OR ERROR-FREE.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Distress Signal AND ITS OWNERS,
OFFICERS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL,
CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST DATA, OR LOSS
OF GOODWILL, ARISING FROM OR RELATED TO THE SERVICE. OUR TOTAL AGGREGATE
LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICE WILL NOT EXCEED
THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT
GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow certain limitations; in those, the limitations
apply to the fullest extent permitted.
13. Indemnification
You agree to indemnify, defend, and hold harmless Distress Signal and its
owners, officers, and agents from any claim, demand, loss, liability, damage,
or expense (including reasonable attorneys' fees) arising from (a) your use of
the Service or of information obtained through it, (b) any outreach you conduct
to any property owner or other person, (c) your violation of these Terms or of
any law, or (d) your violation of any third party's rights.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your
access, with or without notice, for violation of these Terms or for any
conduct we reasonably believe is unlawful or harmful. Sections 6–13 and 15
survive termination.
15. Governing law and disputes
These Terms are governed by the laws of the State of Arizona, without regard
to its conflict-of-laws rules. The exclusive venue for any dispute is the
state or federal courts located in Maricopa County County, Arizona, and you consent
to their jurisdiction. [If you want arbitration and/or a class-action waiver,
have your attorney draft that clause here — it is enforceable only if done
correctly.]
16. Changes to these Terms
We may update these Terms. We will post the revised version with a new
"Last updated" date and, for material changes, provide additional notice.
Continued use after changes take effect constitutes acceptance.
